UpGrad Education Pvt. Ltd. has secured clearance from the Competition Commission of India to acquire Sorting Hat Technologies Pvt. Ltd., the operator of Unacademy.

The deal is reported to be valued in the range of $300–$400 million, with regulatory filings continuing through closing.

Industry observers expect the transaction to narrow competition in online test-prep and signal broader consolidation trends in Indian edtech.

Once remaining closing conditions are met and the CCI issues its final order, the merger can be completed, with the detailed order released afterward.

Leadership continuity is anticipated, with Unacademy co-founders positioned to take advisory and ongoing leadership roles after the merger.

Merger discussions had been public for months, with a formal regulator notification filed in May.

The acquisition would broaden UpGrad’s footprint into online test-preparation, adding Unacademy’s core segments—UPSC, JEE, NEET, and GATE—to UpGrad’s portfolio.

This move fits a broader pattern of consolidation in India’s edtech sector as growth stabilizes and investors reassess performance.

The CCI approved the proposed combination under Section 31(1) of the Competition Act during its meeting on July 7, with the full order to come later.
