Clarivate Sells Life Sciences Segment to Altaris for $600M, Refocuses on Academia & IP Growth
July 8, 2026
Post-transaction, Clarivate will operate as a subscription-first provider of intelligence, workflow software, and tech-enabled services within A&G and IP, leveraging shared platforms and content assets.
Clarivate anticipates a non-cash goodwill impairment of about $225–$250 million related to LS&H, based on the sale price, not affecting full-year outlook metrics.
Clarivate will receive $500 million in cash at closing, $25 million later under a transition services agreement, and a $75 million seller note, with total potential liquidity of $600 million to reduce debt and strengthen financial flexibility.
LS&H delivers data assets and analytics across the drug and device lifecycles, which Altaris intends to continue investing in and expanding.
Clarivate agreed to sell its Life Sciences & Healthcare segment to Altaris for $600 million, signaling a strategic pivot toward Academ ia & Government and Intellectual Property businesses.
The move is designed to strengthen Clarivate’s financial profile by improving the revenue mix, reducing capital intensity, expanding adjusted EBITDA margins, and enabling a more focused, scalable portfolio.
Henry Levy, president of LS&H, said Altaris will back continued growth and investment while keeping a clear focus on customer impact.
LS&H provides data, analytics, and lifecycle expertise for drug and device companies from R&D through market access.
The transaction is expected to close by year-end, subject to regulatory approvals, with LS&H classified as discontinued operations starting in Q3 2026 and a fuller full-year outlook after closing.
The sale supports Clarivate’s Value Creation Plan by optimizing the portfolio, improving sales execution, accelerating innovation, and unlocking shareholder value through a stronger financial position.
Altaris, a healthcare-focused investor, aims to invest in and grow LS&H under its ownership as part of Clarivate’s portfolio optimization.
The deal will translate into a more focused portfolio while Clarivate accelerates debt reduction and simplifies its structure ahead of the closing.
